Marilyn L. Jacobs is Of Counsel in the Sacramento Office. Her practice focuses on the areas of public finance, nonprofits and general business. She has extensive experience assisting school districts with their public finance needs. She has served as a bond counsel and disclosure counsel on many types of transactions including Build America Bonds, Certificates of Participations, General Obligation Bonds, Mello-Roos Bonds, Qualified Energy Conservation Bonds, Qualified School Construction Bond, Qualified Zone Academy Bonds, Revenue Bonds, Refunding Bonds, Tax and Revenue Anticipation Notes and Bond Anticipation Notes.
Marilyn has a wide-range of experience assisting nonprofits with their formation, and with obtaining and maintaining their federal and state tax-exempt status. She routinely advises nonprofit organizations and charitable trusts on a variety of issues, including prohibited transactions, governance, reinstatement of tax-exempt status, dissolution, and reporting and recordkeeping obligations.
Marilyn also assists clients with their general business needs. She provides general corporate and tax advice, and advises clients regarding business formations, mergers and acquisitions, and real estate transactions. Marilyn also represents taxpayers in controversies involving the Internal Revenue Service and the Franchise Tax Board.
Prior to joining DWK, Marilyn had worked with international clients and had served as a foreign legal advisor for a Tokyo law firm. While at a firm in Texas, she had negotiated compensation issues and employee retirement and welfare benefits for domestic and international public and private corporations, and major financial institutions.
